DEFINITIONS
‘the Company’ or ‘we’ or ‘us’ or ‘Rayner Spencer Mills’ or ‘RSM’ means Rayner Spencer Mills Financial Consulting Limited registered in England & Wales under Company Number 5227656 and Rayner Spencer Mills Research Limited registered in England & Wales under Company Number 7137872. Both companies have their Registered Office at Yorkshire House, 41 Keighley Road, Silsden, West Yorkshire BD20 0EH.
'the user’ or ‘you’ means you, the person, Adviser, firm or company registered and specified as the user who has registered to use the Rayner Spencer Mills Online Service.
‘the site’ means the Rayner Spencer Mills Online web-based service located at www.rsmgroup.co.uk and www.rsm-online.co.uk operated and maintained by us or our agents.
1. RAYNER SPENCER MILLS ONLINE
This web-based service means the researched product and fund lists offered by RSM including the database, information and documents delivered by the dedicated website at www.rsmgroup.co.uk and www.rsm-online.co.uk and other agreed documentation subject to any subsequent variations agreed between us and the user.
By registering on the site you accept in full, these Terms & Conditions and agree to comply with them in your use of the site and the Rayner Spencer Mills Online Service.
2. OWNERSHIP & USAGE
All lists, factsheets and other documents prepared by us remain the property of the Rayner Spencer Mills unless otherwise agreed in writing. The user shall be entitled to use the product and fund lists and factsheets produced by the Company only for their own business purposes and only in accordance with these Terms and Conditions.
The user shall not manipulate the results from the Online Service, whether by performing calculations or combining it with other data; use any results as a source material or factual background to create original content for publication; or re-distribute any results to any third party.
Access will be by a secure website with individual ID and a unique Password will be provided by us. You are responsible for protecting and securing these details to prevent unauthorised use.
RSM operate this website from the United Kingdom and makes no representation that the information contained herein is appropriate or available for use in other locations outside the United Kingdom.
3. TERMINATION
We can terminate your access to the Online Service with immediate effect if you breach any of these Terms & Conditions or you do or fail to do any act which jeopardises the Online Service.
4. LIABILITY
This site is for use only by legal entities regulated under the Financial Services and Markets Act 2000. The user acknowledges that use of the results from the Online Service requires the user to use their own skill and judgement and undertakes at all times to exercise their own judgement in the use of the results and shall be solely liable for all opinions, recommendations, forecasts or comments made or actions taken.
The information provided by the Online Service does not constitute advice or recommendation and is not a substitute for independent professional advice which should be sought before transacting any business.
The data and information on this site and in all our documentation is prepared with reasonable skill and care, but RSM does not warrant that data collected by, verified by, or supplied by any third party is wholly accurate or complete. We will not be liable for any actions taken on the basis of the content or for any errors or delays in the content supplied.
5. COPYRIGHT & INTELLECTUAL PROPERTY RIGHTS
The copyright and all intellectual property rights of whatever nature in the RSM Online Service and the selection and arrangement of its content are and shall remain the property of the Company and nothing in these Terms & Conditions shall be construed so as to transfer any intellectual property rights whatever to the user. In addition, the user shall have no rights in respect of any trade name or trademark of the Company or goodwill associated with it.
No part of the RSM Online Service may be used, sold, transferred, copied or reproduced in whole or in part in any manner or form or in or on any media or to any person other than in accordance with the terms of this Agreement or otherwise with the prior written consent of Rayner Spencer Mills.
6. PERSONAL DATA
We are registered under the Data Protection Act 1998 and all personal information you supply to us will be treated in accordance with that Act. We will not pass your personal information on to any other person. We will collect and use your personal information in order to operate, enhance and provide to you the Online Service.
By using the Online Service you also accept and are bound by our Privacy Policy.
Whilst RSM employs reasonable measures to protect against viruses and other harmful components, the nature of the internet is such that it is impossible to ensure that your access to the Online Service will be uninterrupted or error-free, or that the website, its servers or emails which may be sent by us are free of viruses or other harmful components. This site has security measures in place to prevent the loss, misuse and alteration of the information under our control.
7. CHANGES
We may change, modify or withdraw this site and its contents without notice. Where changes are made to important information your continued usage of the site will signify your acceptance of any revisions.
8. CONTRACTS (RIGHTS OF THIRD PARTIES) ACT 1999
Notwithstanding any other provision of these Terms & Conditions, nothing confers or purports to confer any right to enforce any of its terms on any person who is not a party to it, provided that this shall not affect any right of action of a person to whom these Terms & Conditions are lawfully assigned.
9. ARBITRATION
Any dispute between the parties shall be referred to a single arbitrator to be appointed jointly or, failing agreement between the parties, by the Institute of Chartered Arbitrators on application by either party.
10. LAW
This Agreement shall be construed in accordance with and governed by English Law and the parties shall submit to the exclusive jurisdiction of the English Courts.
All rights not expressly granted in these Terms & Conditions are expressly reserved to Rayner Spencer Mills Financial Consulting Limited and Rayner Spencer Mills Research Limited.
